General Terms and Conditions (GTC) of AdsMasters GmbH
- General information
1.1 These General Terms and Conditions (GTC) apply to all services provided by AdsMasters GmbH (hereinafter referred to as "AdsMasters") for its customers.
1.2 Deviations from these GTC must be made in writing. The customer's GTC shall only apply if they are consistent with the GTC of AdsMasters or if AdsMasters has recognized them in writing.
1.3 AdsMasters reserves the right to amend the GTC at any time. The customer will be notified of the amended terms and conditions at least two weeks before they come into force.
- Services
2.1 AdsMasters offers its customers a full-service package for Amazon Seller and Vendor Central. Detailed information on the services and costs can be found in the standard offer, which is part of these GTC.
2.2 If the customer requires additional services that are not included in the standard offer, these can be agreed and charged separately.
- Contract duration and termination
3.1 Der Vertrag tritt mit Unterzeichnung in Kraft und hat eine Mindestlaufzeit von drei Monaten. Der Vertrag verlängert sich automatisch um jeweils sechs Monate, wenn er nicht 60 Tage vor Ablauf schriftlich von einer der Vertragsparteien gekündigt wird.
3.2 AdsMasters reserves the right to terminate the contract extraordinarily. In this case, AdsMasters may terminate the cooperation prematurely after three months. Notice of termination must be given in writing and must be received by the customer within eight weeks of signing the contract.
- Terms of payment
4.1 A separate invoice is issued for each month. The payment term is 14 days from receipt of the invoice.
4.2 In the event of late payment, AdsMasters reserves the right to suspend services until payment has been made.
- Liability
5.1 AdsMasters has unlimited liability for damages caused by intentional or grossly negligent behavior. In the case of slight negligence, AdsMasters is only liable insofar as it is a breach of a material contractual obligation.
5.2 The liability of AdsMasters for damages resulting from injury to life, body or health as well as under the Product Liability Act remains unaffected by the above limitations and exclusions of liability.
- Secrecy
6.1 AdsMasters undertakes to keep all confidential information that becomes known in connection with the provision of the services strictly confidential and to use it only to the extent agreed.
- Final provisions
7.1 Should any provision of these GTC be invalid, this shall not affect the validity of the remaining provisions.
7.2 These GTC and the contractual relationship between AdsMasters and the customer shall be governed exclusively by the law of the Federal Republic of Germany.
7.3 The place of jurisdiction is the registered office of AdsMasters.
